Terms & License Agreement

These Terms & End-User License Agreement (the “Agreement”) govern your access to and use of the website, client portal, and assessment services provided by Evergreen Accounting & Advisory (“Evergreen,” “we,” “us”). By creating an account or using our services, you agree to this Agreement. If you do not agree, do not use the services.
1. The Services
Evergreen provides a one-time, CPA-led financial assessment, a secure client portal for sharing documents and data, and deliverables consisting of a Findings Report and an Action Plan. Ongoing advisory services may be offered separately and are not included unless agreed in writing.
2. Eligibility & Your Account
You must be at least 18 years old and authorized to act on behalf of the business you represent. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.
3. Your Content & Authorization
You retain ownership of the documents, information, and data you provide (“Your Content”). You grant Evergreen a limited license to access, store, and use Your Content solely to provide the services. If you connect QuickBooks, you authorize Evergreen’s read-only access to your QuickBooks Online data for that purpose. You represent that you have the right and authority to share Your Content and to grant this access.
4. Fees & Payment
The assessment is provided for the one-time fee presented at sign-up. Payments, where applicable, are processed by a third-party payment processor; we do not store full payment-card details. Fees are non-refundable except as expressly stated or required by law.
5. Professional Disclaimer
The assessment is an advisory engagement. It is not an audit, review, compilation, or attestation engagement performed under the standards of the AICPA, and it does not constitute tax, legal, or investment advice. Our findings are based on the information you provide and the data you authorize us to access, and are intended to support your decision-making. We do not guarantee any particular financial outcome.
6. Intellectual Property
Upon delivery, you own the Findings Report and Action Plan prepared for you. Evergreen retains all rights in its platform, software, templates, and methodologies. We grant you a limited, non-exclusive, non-transferable license to access and use the portal for your own business purposes.
7. Confidentiality
Each party agrees to keep the other’s non-public information confidential and to use it only as needed to perform or receive the services.
8. Disclaimers
The website and portal are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
9. Limitation of Liability
To the maximum extent permitted by law, Evergreen’s total liability arising out of or relating to the services will not exceed the fees you paid for the assessment. Evergreen will not be liable for any indirect, incidental, special, consequential, or punitive damages.
10. Indemnification
You agree to indemnify and hold Evergreen harmless from claims arising out of your misuse of the services, your violation of this Agreement, or your provision of content or data you were not authorized to share.
11. Termination
Either party may terminate the engagement at any time. Upon termination, your right to access the portal ends, and each party’s confidentiality obligations survive.
12. Governing Law
This Agreement is governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Washington.
13. Changes to This Agreement
We may update this Agreement from time to time. Continued use of the services after an update constitutes acceptance of the revised Agreement.
